1. Overview

These Consumption Pricing Terms (“Terms“) govern how the Origami Risk entity that is party to the corresponding Order Form (“Origami“) measures and charges for the consumption-based products, services and features identified in the Order Form (each, a “Consumption Feature“). These Terms are incorporated by reference into the Order Form and the underlying Software Subscription Agreement or other operative agreement between Origami and Client (collectively, the “Agreement“). Capitalized terms not defined herein have the meanings set forth in the Agreement.

3. Consumption Model

  1. Contracted Allocation. Client may consume up to its Contracted Allocation for each Consumption Feature in each Metering Period without incurring additional charges (other than any applicable Add-On Bundle fees). Unused Consumption Units in any Metering Period do not roll over and have no cash value.
  2. Overages. If Client exceeds its Contracted Allocation for any Consumption Feature at any point in a Metering Period, Origami will charge Client for one or more Overage Bundles based on the number of Consumption Units consumed above the Contracted Allocation in accordance with Section 4 below.
  3. Measurement. Origami tracks and calculates Consumption Unit usage. Origami’s records are final and determinative for all billing purposes. Consumption details by Consumption Feature and Metering Period will be available through Origami’s administrative portal.

4. Billing and Invoicing

  1. Baseline Allocation. Fees for use of Consumption Features up to the applicable Baseline Allocation for such Consumption Feature are included in Client’s subscription fees under the Agreement.
  2. Add-On Bundle Billing. Fees for any Add-On Bundles are billed in advance on an annual subscription basis in accordance with the Order Form and the Agreement and pro-rated as appropriate.
  3. Overage Bundle Billing. Fees for Overage Bundles are billed in arrears at Origami’s then-current standard rates. Overage invoices are issued every six (6) months or upon expiration or termination of the Agreement, if earlier, for unpaid Overages in all Metering Periods.
  4. Payment. Overage invoices are due and payable in accordance with the payment terms in the Agreement and remain due and payable even if the Agreement expires or is terminated.
  5. Taxes. All fees are exclusive of applicable taxes, which will be invoiced separately as required by law.

5. Update to These Terms

Origami may update these Terms and the Consumption Features Table by posting revised versions online. For changes that materially reduce functionality or materially increase Consumption Feature costs, Origami will provide at least thirty (30) days’ prior written notice via the administrative portal or email to Client’s designated administrative contact.
